Terms, in plain English.
Fixed price, agreed in writing before anything starts. 50% to begin, 50% on delivery. One revision round included. The deposit is refundable right up until work starts. You own the code, the design, and every account.
Who these terms are between
They apply to work carried out by cbwstudio, a small, independent studio based in the United Kingdom, for you as the client, from the point you accept a quote. If we sign a separate agreement that says something different, that document wins.
Quotes and scope
Every project is quoted as a fixed price after a short written brief. The quote says what is included, what is not, and roughly how long it will take. Nothing starts until you have accepted it in writing — an email counts.
The fixed price is fixed. If the work turns out harder than I expected, that is my problem, not a change request. If you add something genuinely new — an extra page, a second integration, a feature nobody mentioned at the start — I quote it separately in writing before anyone starts on it. You will never receive an invoice with something on it you did not agree to.
Payment
- +50% of the agreed fee to book the work and start, 50% on delivery.
- +Larger builds split into milestones instead, each with its own written scope and its own payment.
- +Bank transfer or Stripe invoice, whichever suits you. Invoices are due within 14 days.
- +Prices are quoted in pounds sterling. The studio is not VAT-registered, so no VAT is added.
The deposit
The deposit is refundable in full if you cancel before work begins. Once work has started it is non-refundable, because the time has been booked out and the work is under way.
Revisions
Every project includes one revision round on the design: a consolidated set of changes, sent in writing, once you have seen the work. Further rounds, or changes that amount to a different design rather than a revision of this one, are quoted separately before I start them. Clear briefs upfront are what usually make the second round unnecessary.
What you provide
Copy, images, logins, and access to the systems the work touches, unless the quote says I am producing them. Copywriting, photography, illustration, and stock licences are not included by default. Delays in getting these to me move the delivery date — they do not change the price.
Ownership
On final payment, everything I build for you is yours outright — code, design files, and content — with no licence back to me and no ongoing fee. You are never locked into my infrastructure.
Accounts are yours throughout rather than only at the end. Hosting, domains, ad accounts, servers, and provider accounts are opened in your name from the start, so there is never a moment where your business sits inside an account I control.
One thing works differently: third-party components — open-source libraries, plugins, fonts, stock assets — stay under their own licences, which pass to you as they are.
Your project is only shown in my portfolio if you have given permission. I do not publish client work by default and I do not share client details, which is why some of the projects on this site stay anonymous.
Running costs
Hosting, domains, third-party subscriptions, and AI provider usage are billed to your own account at cost and never marked up. They are not part of the project fee unless the quote says otherwise.
Timelines
Timelines in a quote are honest estimates rather than guarantees, and they assume you come back on questions and reviews within a few working days. If something is going to slip, I tell you before it slips rather than after.
After launch
Ongoing support is optional. A monthly retainer covers updates, maintenance, and new features, and is cancellable at any time. It is never mandatory — you own everything and can take it elsewhere whenever you like.
If something goes wrong
Tell me. Most problems are fixed faster by one email than by anything written on this page.
I build carefully and test properly, but nobody can promise software will never fail. My liability on a project is limited to the fees you have paid me for it, and I am not liable for lost profits, lost data, or lost business. Nothing here limits liability that cannot legally be limited.
Cancellation
Either of us can stop the work by saying so in writing. You pay for what has been completed up to that point, anything already invoiced for completed work becomes due, and anything paid for work not yet done is refunded. You keep everything that has been built and paid for.
Law
These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction over any dispute arising from them.
